Terms & Conditions
Welcome to ChadGPT. These Terms and Conditions of Service (“Terms”) govern your access to and use of ChadGPT, a product of Wisecrowd, Inc. (“Company,” “we,” “us”). By using our services, purchasing a subscription, or obtaining a Lifetime Pass, you agree to these Terms. If you do not agree, please do not use ChadGPT.

Definitions
“Company,” “we,” “us,” “ChadGPT”: Wisecrowd, Inc.
“You,” “Customer,” “Buyer,” “Account”: the person or entity that accesses or purchases ChadGPT.
“Product,” “Service,” “ChadGPT Pro”: ChadGPT’s software-as-a-service platform, including models, features, interfaces, and integrations.
“Subscription”: an ongoing paid plan granting access to ChadGPT Pro.
“Lifetime Pass”: a one-time purchase granting access rights as described in Section 3.
“Fair Use”: reasonable usage consistent with typical small-business needs; see Section 6.
“Lifetime”: means the operational life of ChadGPT Pro as offered by the Company. If the Company discontinues the Product, materially changes it, or ceases operations, access may end. Lifetime does not mean “forever under all circumstances” — external factors like bankruptcy, mergers, or regulatory action may affect service availability.

Services
Acceptance of Terms
By using ChadGPT, you agree to comply with and be bound by these Terms, as well as our Privacy Policy, Sharing & Publication Policy, and Usage Policies.
Termination
We reserve the right to suspend or terminate access if you violate these Terms, without notice.
Changes
We may update these Terms at any time. Updates are effective once posted. By continuing to use our Services, you accept any updated terms.
Permitted Use
You may use ChadGPT if you comply with these Terms and applicable laws.
Prohibited Use
You may not use our Services for illegal, harmful, or abusive purposes, including but not limited to:
- Infringing intellectual property or rights of others.
- Copying, modifying, or redistributing our Services.
- Reverse engineering or attempting to extract source code.
- Automated scraping or programmed output extraction.
- Misrepresenting AI Output as exclusively human-generated.
- Interfering with or bypassing safeguards.
- Using our Outputs to build competing AI models.
Software
Some Services may include downloadable software, which may update automatically. Open-source components are governed by their own licenses.
Corporate Domains
Accounts created with corporate emails may be managed by that organization.
Third-Party Services
We integrate third-party services governed by their own terms. We are not responsible for their performance or outputs.
All third-party names, trademarks, service marks, logos, and registered brands (including but not limited to “OpenAI,” “ChatGPT,” “Claude,” “Gemini,” “Meta,” and “Grok”) remain the property of their respective owners. ChadGPT and Wisecrowd, Inc. make no claim of affiliation, endorsement, or sponsorship. References to such services are provided solely to describe technical compatibility or integration.
Feedback
Any feedback you submit may be used by us freely.

Content
Your Content
You are responsible for any content you input into ChadGPT (“Input”) and any content generated in response (“Output”). You represent that you have rights to use and provide such Input.
Ownership
You retain ownership of your Input and Output. We assign to you any rights we may have in your Output, subject to third-party rights.
Similarity
Due to the nature of AI, similar Outputs may be generated for different users.
Our Use of Content
We may use Content to improve our Services, comply with laws, and enforce policies.
Opt Out
You may opt out of contributing Content to model training by requesting account deletion ([email protected]).
Accuracy
Outputs may be incomplete, offensive, or inaccurate. They should be reviewed before use, especially where decisions carry legal or significant consequences.
Intellectual Property
We and our licensors retain all rights to ChadGPT and its technology. You may only use our name and logo in accordance with our Brand Guidelines.

General Terms
Assignment
You cannot assign rights under these Terms; we may assign ours.
Trade Controls
You must comply with applicable trade laws, sanctions, and export controls.
Entire Agreement
These Terms represent the full agreement between you and us.
Governing Law
These Terms are governed by the laws of the State of Idaho, County of Ada.

Fair Use; Monitoring; Overage
ChadGPT is built for solopreneurs and small teams. Excessive or abusive usage — such as automated scraping, sustained heavy compute loads, or continuous high-volume API calls — is prohibited.
Unlimited Plans: “Unlimited” is subject to reasonable limits. Currently 5,000 outputs/month.
Lifetime Passes: Lifetime Pass usage is also subject to “Fair Use,” meaning activity consistent with normal small-business operations. Excessive or abusive usage (e.g. scraping, continuous heavy compute, or sustained high-volume API calls) may result in throttling, suspension, or overage fees.
Automated Use: Bots, scripts, or other automated processes are prohibited without human oversight.
Consequences: Violations may result in immediate suspension or termination of your account.

Paid Services
Billing & Subscriptions
Subscriptions may be monthly or yearly, each with a 7-day free trial. If not canceled during the trial, you will be charged for the selected plan. Refunds are not issued after the trial period, except where legally required.
Lifetime Passes
A Lifetime Pass is a one-time purchase providing access to ChadGPT Pro for the operational lifetime of the Product.
- Included: access to the core product as it exists at purchase, plus reasonable updates; standard support; seat(s) as specified at purchase.
- Not Included: enterprise-only features, custom integrations, third-party fees, professional services, or additional seats unless separately purchased.
- Lifetime Defined: the period ChadGPT is actively offered by the Company. It does not extend beyond the discontinuation of the Product or events like bankruptcy, acquisition, or regulatory action.
- Non-Transferable: Lifetime Passes are tied to the purchasing account and cannot be sold, transferred, or assigned.
- Refunds: 30-day refund window from purchase date. After 30 days, Lifetime Pass purchases are final.
- Termination: Lifetime Passes may be revoked for violations of these Terms, illegal or abusive activity, or failure to pay any overage fees.
Service Credits
Prepaid credits may be available subject to separate terms.
Price Changes
We may adjust pricing, with 30-day notice before renewal or for Lifetime add-on services.
Discontinuation
If ChadGPT ceases operations, access ends. No refunds will be issued for discontinuation.
07.
Liability, Warranties, and Disputes
Disclaimer of Warranties
Our Services are provided “as is.” We disclaim all warranties to the extent allowed by law.
Limitation of Liability
Our liability is limited to the greater of (a) amounts you paid in the last 12 months, or (b) $100. For Lifetime Passes, liability is capped at the one-time fee paid. We are not liable for indirect, incidental, or consequential damages.
Indemnity
You agree to indemnify and hold us harmless from third-party claims related to your use of ChadGPT or violation of these Terms.
Dispute Resolution
Disputes will be resolved via arbitration in Spokane, WA, under NAM guidelines, except for small claims or requests for injunctions.

Data, Privacy & Security
We handle customer data in accordance with our Privacy Policy. Data is generally stored and processed in the U.S. You remain responsible for the content you upload or generate.
Data Deletion
You may request account and data deletion by contacting us. In some cases, legal requirements may prevent deletion.
